01. Acceptance of Terms

By accessing our website, purchasing our agency services, or engaging Artsy Amigos for web engineering, branding, SEO, or digital marketing projects, you agree to be bound by these Terms of Service, all applicable laws, and regulations.

If you do not agree with any of these terms, you are prohibited from using or accessing this site or engaging our services. All materials contained on this site are protected by applicable copyright and trademark law.

02. Scope of Agency Services

Artsy Amigos provides bespoke digital agency services, including but not limited to:

Custom Web Application & Front-End Architecture Development
UI/UX Design, Wireframing, and Brand Identity Systems
Search Engine Optimization (SEO) & Generative Engine Optimization (GEO)
Performance PPC & Social Media Marketing Campaigns
AI Automation, Workflow Engineering, and Web3 Integration

Detailed project scopes, deliverables, timelines, and budgets are finalized in individual client Statement of Work (SOW) or proposal contracts.

03. Client Obligations & Assets

Clients are responsible for providing clear specifications, timely feedback, content copy, brand assets, and necessary access credentials required for project completion.

Delays in asset provision or feedback from the client may extend project timelines proportionally. Clients guarantee that all provided text, images, and media assets do not infringe upon any third-party intellectual property rights.

04. Intellectual Property & Transfer of Rights

Upon receipt of full and final payment, Artsy Amigos transfers to the client full ownership rights of the final custom design files, compiled code, and project deliverables as defined in the SOW.

Artsy Amigos retains ownership of proprietary internal tools, reusable code snippets, starter frameworks, and pre-existing methodologies used during development. We reserve the right to display completed client projects in our portfolio unless a formal Non-Disclosure Agreement (NDA) specifies otherwise.

05. Payment Terms & Billing

Project fees are billed according to agreed milestone schedules (e.g., upfront deposit, milestone completions, and final handover). Invoices are payable within 14 calendar days of issuance unless agreed otherwise in writing.

Late payments may incur statutory interest charges. Artsy Amigos reserves the right to pause active development or suspend website hosting if invoices remain overdue beyond agreed credit terms.

06. Limitation of Liability

In no event shall Artsy Amigos or its suppliers be liable for any indirect, incidental, consequential, or punitive damages (including loss of data, revenue, or business interruption) arising out of the use or inability to use our services or website.

Our total liability for any claim arising out of a specific contract shall not exceed the total amount paid by the client to Artsy Amigos under that specific contract.

07. Governing Law & Jurisdiction

These Terms of Service and any separate agreements under which Artsy Amigos provides agency services shall be governed by and construed in accordance with the laws of India, with primary jurisdiction assigned to courts in Vijayawada, Andhra Pradesh.

08. Revisions & Contact

Artsy Amigos reserves the right to revise these Terms of Service at any time without prior notice. By continuing to use our website or services, you agree to be bound by the current version of these terms.
